ATLANTA, July 11, 2025 — Thunder Energies Corp. (OTCMKTS: TNRG) — CEO of Thunder Energies Corp., Ricardo Haynes, has released the following statement:

Thunder Energies Corp. has announced its intention to delist from public markets and cease being a publicly traded company.

Please be advised: On July 10, 2025, the Board of Directors, with the approval of a majority of the company’s voting shareholders, authorized a voluntary removal of the company’s securities from listing and registration on the Exchange and OTC Markets, in accordance with 17 CFR 240.12d2-2(c). Furthermore, it is believed that the Issuer has adhered to the Exchange’s regulations and the stipulations of 17 CFR 240.12d2-2(c). Following this notification, which has been submitted to the SEC via Form 8-K, and the required 10-day waiting period, the Issuer will submit Form 25 – NOTIFICATION OF REMOVAL FROM LISTING AND/OR REGISTRATION. Subsequently, after another mandated 10-day waiting period, the Issuer will file Form 15 – CERTIFICATION AND NOTICE OF TERMINATION OF REGISTRATION.

As our shareholders know, over the past year, the Company has sold off its assets and distributed a dividend to shareholders in the form of OTCMKTS: WBSR shares. The Company will transition into a private corporation based in Florida.
