The offering consists of 40,500,000 shares of Class A common stock (the “Shares”) priced at $28.00 per share. Arxis has also provided the underwriters with a 30-day option to buy up to an additional 6,075,000 shares at the public offering price, minus underwriting discounts and commissions. Trading of the Shares on the Nasdaq Global Select Market is anticipated to start on April 16, 2026, under the ticker symbol “ARXS.”

The offering is scheduled to close on April 17, 2026, pending the fulfillment of standard closing conditions.

Goldman Sachs & Co. LLC, Morgan Stanley, and Jefferies are serving as the lead joint book-running managers for the offering.
