DALLAS and TORONTO, December 23, 2024 — NexPoint Hospitality Trust (“NHT” or the “REIT“1), (TSX-V: NHT.U) today announced amendments (the “Amendments“) to its amended and restated declaration of trust (the “Declaration of Trust“). These changes enable the REIT to combine its annual unitholder meeting with a special meeting to approve the merger transaction announced on November 25, 2024 with NexPoint Diversified Real Estate Investment Trust (the “Merger Transaction“). The current Declaration of Trust mandates the annual meeting by December 31, 2024, a deadline that cannot be met due to delays in finalizing the information circular for the merger approval meeting. The Amendments allow the annual meeting to be held within 15 months of the last annual meeting, or a later date approved by the TSX Venture Exchange (the “TSXV“). The TSXV granted a three-month extension to April 26, 2025. The REIT will file an amended meeting notice soon, setting the record and meeting dates for this combined annual and special meeting (the “Meeting“) to consider annual business, the Merger Transaction, and other matters. The Meeting is planned before February 28, 2025. The Amendments were approved by unitholders representing at least two-thirds of the REIT’s trust units, as per Section 9.15 of the Declaration of Trust.
