Autozi Receives Nasdaq Notices Regarding Listing Requirements

BEIJING, Dec. 2, 2025 — Autozi Internet Technology (Global) Ltd. (“Autozi” or the “Company”) (Nasdaq: AZI), a leading and rapidly expanding automotive service and supply-chain technology platform in China, announced it received two notification letters from the Nasdaq Stock Market LLC (“Nasdaq”) on November 26, 2025.

The first notification, dated November 26, 2025, stated that the Company doesn’t meet the minimum Market Value of Publicly Held Shares (“MVPHS”) requirement of US$15,000,000 for continued listing on the Nasdaq Global Market, according to Nasdaq Listing Rule 5450(b)(2)(C). Rule 5810(c)(3)(D) specifies that this deficiency must persist for 30 consecutive business days. The Company’s MVPHS was below the minimum for 30 consecutive business days, from October 15, 2025, to November 25, 2025. The notification doesn’t immediately affect the listing and trading of the Company’s securities. The Company has a 180-day compliance period, until May 26, 2026, to regain compliance, as per Nasdaq Listing Rule 5810(c)(3)(D). If the Company’s MVPHS closes at US$15,000,000 or higher for at least ten consecutive business days during this period, Nasdaq will confirm compliance, and the matter will be closed. Failure to regain compliance with Rule 5450(b)(2)(C) by the deadline will result in a delisting notification.

The second notification, also dated November 26, 2025, informed the Company that its securities’ closing bid price was $0.10 or less for ten consecutive trading days as of November 25, 2025. Consequently, the Company is subject to the provisions of Listing Rule 5810(c)(3)(A)(iii), and Nasdaq staff has decided to delist the Company’s securities from the Nasdaq Global Market. The Company can appeal this decision to a Hearings Panel (the “Panel”) by December 3, 2025. Filing a hearing request will suspend the delisting process and the filing of Form 25-NSE until the Panel makes a decision. The hearing fee is $20,000. The Company requested a hearing by the Panel on December 2, 2025.
