ATLANTA, May 1, 2025 — Graphic Packaging Holding Company (NYSE: GPK), a prominent global provider of sustainable consumer packaging solutions, has announced that its Board of Directors has authorized a new share repurchase program totaling $1.5 billion. This new authorization supplements the existing July 27, 2023 authorization, under which $365 million remains. As of April 30, 2025, the total available authorization for share repurchases stands at $1.865 billion.

The company may repurchase shares periodically through various methods, including open market transactions, private negotiations, and Rule 10b5-1 plans, all in compliance with securities laws. The timing of any repurchases will depend on factors such as market conditions, the company’s financial standing, debt maturities, and cash flow.

According to Graphic Packaging President and CEO Michael Doss, capital spending needs are expected to decrease significantly as the final major investment of Vision 2025 nears completion. He stated that while the company will prioritize reinvestments to maintain and strengthen its leading position in sustainable consumer packaging, it anticipates generating cash in excess of its needs over the coming years.

The Company’s Board previously approved a ten percent increase in the quarterly dividend to $0.11 per share, which was paid on April 5, 2025, to shareholders of record as of March 15, 2025.

Mr. Doss added, “We evaluate every potential investment against the option of repurchasing our stock and anticipate returning a substantial amount of available cash to stockholders in the future through increased dividends and strategic share repurchase activities.”
