
BEIJING, June 20, 2025 — So-Young International Inc. (Nasdaq: SY) (“So-Young” or the “Company”), China’s leading platform for aesthetic treatments, connecting consumers with online services and in-person procedures, declared today that it is modifying the effective date for its previously disclosed plan regarding an ADS ratio adjustment.
The Company had earlier intended to alter the ratio of its American Depositary Shares (“ADSs”) to its Class A ordinary shares. This change was to shift from the current ratio of thirteen (13) ADSs representing ten (10) Class A ordinary shares to a new ratio of one (1) ADS representing fifteen (15) Class A ordinary shares. This adjustment was initially set to become effective at the start of trading on June 30, 2025 (U.S. Eastern Time). After additional review, the Company has chosen to allocate more time to complete the necessary preparations for this ADS ratio modification. A revised schedule will be provided once it is determined.
For holders of the Company’s ADSs, this alteration in the ADS ratio will function similarly to a proportional reverse ADS split. The Company’s Class A ordinary shares themselves will remain unaltered. ADS holders listed as of the effective date will not need to perform any actions regarding this ADS ratio modification. The conversion of existing (old) ADSs into new ADSs will happen automatically, with the old ADSs being canceled and the depositary bank issuing new ADSs. Trading of the ADSs on Nasdaq will continue under the ticker symbol “SY.”
No partial new ADSs will be issued as a result of this ADS ratio adjustment. Instead, any fractional rights to new ADSs will be consolidated and sold by the depositary bank. The depositary bank will then distribute the net cash proceeds from the sale of these fractional ADS entitlements (after accounting for fees, taxes, and expenses) to the relevant ADS holders.
Consequently, due to the shift in the ADS ratio, the price of the ADS is anticipated to rise proportionally. However, the Company cannot guarantee that the ADS price post-ratio change will match or exceed a proportional price derived from the ADS price prior to the change.
